Jennings Strouss has experience in virtually all aspects of federal, state, and local taxation law. Our attorneys are heavily involved in corporate and personal tax planning to minimize the tax liability imposed on our clients. They also work closely with attorneys in other firm practices to address tax issues arising out of business transactions, the formation of business entities (corporations, limited liability companies, partnerships, trusts, etc.), mergers and acquisitions, restructurings, public and private securities offerings, real estate, bankruptcy, labor and employment, and litigation. Our attorneys also have extensive experience addressing the state tax needs of clients engaged in interstate commerce.
Jennings Strouss assists business with all aspects of employee benefits and compensation. They regularly address issues arising from the Employee Retirement Income Security Act (ERISA) of 1974, the Internal Revenue Code, the Consolidated Omnibus Budget Reconciliation Act (COBRA), the Family Medical Leave Act (FMLA), and other laws affecting employee benefits. Their experience includes a wide range of benefits and compensation matters, including drafting and providing advice concerning qualified retirement plans, health and welfare plans, fiduciary counseling, ERISA litigation and government proceedings, and corporate transactions, such as legal and administrative issues in connection with corporate mergers, acquisitions, and dispositions.
Jennings Strouss assists with tax issues related to exempt organizations and represents numerous trade associations, social clubs, employee associations, homeowner associations, and nonprofits, including international relief organizations, hospitals, long-term care and nursing home facilities, and private foundations. Our attorneys have particular experience in charitable giving tax issues, in particular, planned and deferred giving. Their expertise also includes utilizing federal and state Low-Income Housing Tax Credits (LIHTC) and tax-exempt bond financing to structure transactions; advising on compliance issues; counseling on state and local tax incentives; resolving complex tax issues, and providing wide-ranging federal and state tax advice. In addition, our attorneys are knowledgeable on qualified opportunity zones and qualified opportunity funds.
When a business or individual faces tax controversy issues with a taxing authority, Jennings Strouss attorneys provide expert solutions to this often complex and intimidating process. They work tirelessly to develop strategies and solutions that will offer the best outcome for clients. Our attorneys also assist clients with litigation involving sales and use taxes, property taxes, and state income taxes.
Jennings Strouss attorneys also implement tax strategies in estate planning and estate administration. In addition to the preparation of wills and trusts, and planning for the effective transfer of business and other assets, they act as counsel to trustees and administrators of large estates.
Jennings Strouss attorneys serve as legal counsel and directors of numerous charitable and community organizations, including non-profit corporations (IRC Section 501(c)(3)) and trusts. They often present on tax-related topics and are involved in a number of professional organizations, including the tax section of the State Bar of Arizona, the tax and trusts and estates sections of the American Bar Association, Central Arizona Estate Planning Council, Valley Estate Planners, American College of Trust and Estate Counsel. Also, members of our tax practice are Arizona Board of Legal Specializations, Certified Tax Specialists.
