Chris Rogers focuses his practice primarily in the areas of general corporate law, private securities offerings, and private fund formation.  His clients span technology, real estate, energy, manufacturing, financial and other industries. He regularly advises companies in connection with private placements of equity and debt instruments, and in preparation for initial public offerings, domestically and in Canada.  Rogers has substantial experience representing individuals and investment funds in the purchase and sale of privately-held business interests. For example, he represented two investment funds in their pre-IPO acquisition of Facebook, Inc. stock, and negotiated millions of dollars in private sales of LifeLock stock before its initial public offering. Rogers also has deep experience with state blue-sky law compliance for issuer private placements of securities and regularly advises companies and entrepreneurs on corporate governance, entity formation issues and all manner of business agreements.

Rogers also provides legal counsel to start-up and growth companies in intellectual property, employment law and on the business aspects of civil litigation matters. As a graduate of one of the top trial advocacy programs in the country, where he was inducted into the Mock Trial Honor Society, Rogers previously served as Special Assistant District Attorney in Brooklyn, N.Y., and clerked for the Honorable Lisa A. Firko, J.S.C., of the Superior Court of New Jersey.

Prior to joining the bar, Rogers worked in Congress as a senior Legislative Assistant where he advised a member of the House International Relations Committee on trade, defense and business issues. No stranger to advocacy, Rogers later joined with CNN as one of the producers of the daily political debate program “Crossfire.”

Rogers is General Counsel to the Canada-Arizona Business Council, a non-profit organization dedicated to promoting and fostering bilateral trade and investment. He also serves on the executive committee of the Securities Regulation Section of the State Bar of Arizona.
